  1. Introduction / Overview
    College Web Mentor is the world's best mentoring company. Although there are others out there, College Web Mentor is the one-stop shop for mentoring, coaching, and training for students. For employers, CWM is the go-to company to find recent college grads for employment.  

For College Students

Our goal is to help college students be “hire ready”. This means, but is not limited to:

1. Help college students find and follow their passion. 

2. Help college students find and discover their natural-born talents.

3. Help college students with dealing with peer pressure.

4. Help college students deal with academic pressures

5. Help college students with campus life. 

6. Help college students live a healthy lifestyle. 

7. Help college students transition from college into the working world.

The bottom line is to help college students make wise college and career decisions.  

For Employers

CWM understands employers needs. the needs, challenges, and frustrations that come along with looking for great employees. Especially, in today’s market with new graduates transitioning to the real working world right out of college. CWM has set goals to help find passionate, experienced, and hardworking employees. Not all employees are leaders, but that doesn't mean they can’t be mentored to lead the team when the time comes.  For college students, CWM is helping college students make wise college and career decisions, as well as be more than hire ready, and we want the employer to be a part of this. 

When one creates an account and or becomes a User or Member, Coach, Mentor, Intern of our Services, in any manner, shape or form, they are entering into a legally binding agreement with College Web Media, LLC., A California limited liability corporation headquartered in Walnut, CA (“CWM”) as set forth in these Terms of Use (“Terms”). The CWM Terms include the CWM Privacy Policy. The CWM Privacy Policy is incorporated by reference, as seen fit. Users and Members must be 16 years of age to engage and use the Services. Please note, anyone under the legal age of 16 years old, can not, and is not, under any circumstances, or for any reason, able to use the Services. The Services and designed, intended, marketed, and meant for people of the legal age of 16 years of age.  CWM does NOT knowingly collect information for any human being under the age of 16 years of age. Should a User, member or visitor to the CWM website www.collegewebmentor.com or services, be under the country applicable laws, for which they are using the Services, require that the User, Member or Visitor be older than 16 years of age, than the User, Member, or Visitor must be the minimum age legally defined under such country or state in order to use the Services.

CWM (Services)

The CWM “Services” collectively include the CWM “Website” www.ccollegewebmentor.com as including all webpages, subdomains, and all other and any successor or affiliated websites) email, social media accounts, emails, and other communications, User and Member accounts, internships, job applications, CWM Coach Services, CWM Discussions, CWM Webinars, CWM Store, Content, or any other products or Services offered on the Website or other and all Services that state they are administered by these Terms. Note: “Content” means any and all text, images, posts, articles, video graphics, music, audio, and software or other materials appearing on the Website, including but not limited to, other materials appearing on the website, such as downloads of any kind, information about internship opportunities from employers, colleges, 

 “Content” means any and all text, articles, images, videos, graphics, software, music, audio, information, or other materials appearing on the CWM Website, including, but not limited to, information about internship opportunities, employers, college resources, mentoring resources, coaching resources, career resources, advice, and questions, answers, or other content located on CWM Website or affiliated accounts, including social media account associated with CWM. This includes whether created or posted by User or Members, Visitors or any other users.

Updating and Modifications

As seen fit, CWM will update and modify the Terms. When we do update or modify these Terms, CWM will notify its Users and Members of such changes via the provided email, DM, or text message.  Changes to the CWM Terms will be effective as of the date CWM posts them or by the date for which Users and Members are notified. CWM will be updating the “REVISED” date at the beginning of this document as well as part of the notification. As seen fit, effective dates to changes may have an “effective date” in the notification. Should a User or Member continues to use the Services, it constitutes their acceptance of the changes. If a User or Member does not completely agree with the changes, that User or Member must STOP USING THE SERVICES IMMEDIATELY. CWM reserves the right to refuse Services to anyone at any time without notice. CWM may change, add to, suspend, or discontinue the Services or certain features of Services, or delete any content at any time for any reason, without prior notice to the Users or Members. Please note, unless expressly stated otherwise, and new feature that enhances, augments, or otherwise modifies the Services is subject to these Terms. 

Accounts

Although Users and Members are not required to provide personal or professional, or college information to CWM, unless the User or Member creates an account with CWM and henceforth, provide CWM with certain personal, professional, and college information, CWM may not be able to provide Users or Members with proper access and use of some or all of the Services that Services provides. This includes, but is not limited to, applying for internships, jobs, saving favorites, participation in Service discussions, purchasing products offered by CWM, booking a Mentor(s), booking a Coach, booking classes, booking seminars, and booking webinars.  Regardless if a User or Member chooses to create, maintain, or close out their account with CWM, they may still access certain information on the CWM website as a visitor. Nevertheless, be it as a visitor, User, or Member, they are still subject to these CWM Terms. As a User or Member, it's understood that your CWM Account is for your personal, non-commercial use only and you must provide accurate and complete information when a CWM Account is created. The User and or Member is responsible for maintaining the confidentiality and security of their account information. This includes, but is not limited to, any usernames or passwords, and for the activity that occurs on their CWM account. It is forbidden to create a CWM User or Member account for someone else or allow anyone to use your CWM Account.  Users and Members agree to notify CWM immediately of any suspicious, actual, or suspected unauthorized access to their account, username or password, as well as any breach of security related to their CWM Account. If a User or Member CWM Account is canceled by CWM, or a User or Members Account is deleted, blocked or removed, or should a User or Member be blocked from the CWM Website or Services due to a violation of the CWM Code of Conduct, or misuse or abuse of the CWM Privacy Policy, that User or Member may not continue to use the Services in anyway. User and Members can cancel their CWM Account, as seen fit, at any time by emailing cancel.my.account@collegewebmedia.com. Should a User or Member be canceled, CWM has no obligation to maintain, remove, delete or return any Content or professional or personal information data, User or Members have posted through their use of the Services. However, should a User or Member specifically request such deletion in accordance with the CWM Privacy Policy and a legitimate right to such deletion under applicable law.  

Internship and Job Applications

CWM allows college students to view amazing internship and employment opportunities. Through CWM, Users and Members can browse open internships, job positions, and apply to these positions, as they are logged their CWM accounts. Some internship and employment positions are posted in a manner that will redirect the User or Member to the company that is offering the positions; to their website. Should this happen User and Members, may be able to apply without having a CWM account. Should this be the case, as seen fit, CWM may not offer the option to save information for which a User or Member has submitted for applying for internships or job positions. This information can be used at a later time for applying for positions available. Information includes, Cover letters, resumes, letters of recommendation, images, PDF’s, and other personal and professional information. This information, both professional and personal is governed under the CWM Privacy Policy.

CWM Paid Services

Services are come in a variety of styles, products, and services. Some of them are free for public use and require no membership or payment (“Free Services”). Of course, there are the Services and products that require purchasing them for use (“Paid Services”). CWM reserves the right to charge for Free Services or change the prices for Paid Services as anytime. Not that CWM likes to change the prices, but it is sometimes necessary. Should a User or Member purchase any Pair Services, that Use or Member agrees to pay any and all applicable fees and associated taxes. This is also the case, as seen fit, regardless of any associated fees, and additional Terms, from countries other than the United States of America. CWM will notify the User and Member of applicable fees or Paid Services. Users and Members will hereby fully authorize the collection of such amounts either directly by CWM or indirectly through third party payment processors. Should a User or Member fail to make such payment for such fees, their applicable Paid Service will be terminated. As seen fit, a User or Member may be directed to a third-party payment processor, which means that User or Member will be governed by their terms and conditions for that third-party's service, as well as that third-parties personal or professional collection practices. Please be sure to read about their policies before continuing, your purchase. Furthermore, CWM is not in anyway liable for any associated fees, this includes, but is not limited to bank fees, forign exchange fees, differences in prices for services or products based on location. Furthermore, CWM or it’s affiliates or third-party payment processor, as seen fit, may store User and Member information, and continue billing their payment method (e.g., credit card), to them (User or Member) for other Paid Services purchased.

CWM Content and Licenses

User and Member Content

CWM does not acquire ownership of the Content User or Members post to the CWM Website, however, by posting any Content to the CWM Website, the User and Member agrees to concede CWM a universal, perpetual, sub-licensable, commercial, royalty-free, irrevocable license to use, copy, reproduce, process, adapt, modify, create derivative works from, publish, transmit, display, and distribute such Content, in all media and distribution methods now known or hereafter devised, and the User or Member represents to CWM that they (User or Member) have the right to grant such a license. The User and Member agrees that this license includes, but is not limited to, the right for other users of the Services to modify the User or Members content and for CWM to make their (User or Member) Content available to others for the publication, distribution, syndication, or broadcast on other media and services. Additional uses by CWM or others, as seen fit, may be made with no compensation paid to the User or Member with respect to the Content that a User or Member with respect to the Content that they (User or Member) submits, posts, transmit, or otherwise make available through the Services. Any and all feedback, comments, or suggestions a User or Member may provide regarding the Services is entirely voluntary and CWM is free to use such feedback, comments, or suggestions as they see fit, and without any obligation to the User or Member. CWM Reserves the right, however, do not have any obligation to, remove, or block any Content in CWM’s sole discretion, at any time, without notice to the User or Member for any reason (including but not limited to, upon receipt of claims or allegations from third-parties or authorities relating to such Content or if CWM is concerned that a User or Member may have, or is in violation of these Terms), or for no reason at all. If Content a User or Member submits to the Services contains their (User or Member) personal information, the User or Member’s right to access that personal information is controlled by the CWM Privacy Policy.

 The CWM Content

The CWM Website and Services correspondingly contain Content posted by CWM and their licensors (“CWM Content”). CWM and their licensors retain all right, title and interest in and to such CWM Content, including, but not limited to, all associated intellectual property rights, including, without limitation, copyrights, trademarks, trade names, trade dress, logos, patents, know-how, trade secrets, instructions, and all other proprietary information.  Under the User or Members authority and control and with their compliance with these CWM Terms, CWM grants Users and Members a revocable, limited, non-exclusive, non-transferable license, to access and view any CWM Content solely for the User or Members personal and non-commercial purposes. The User or Member agrees, under any circumstances, not to sublicense, copy, distribute, display, disseminate, reproduce, or otherwise exploit a CWM Content or Services without CWM’s prior written permission, regardless of whether it is created or owned by CWM or a third-party, or licensor to CWM.

Disclosure of Content

CWM reserves the right to access, read, preserve, and disclose and Content or information in accordance with the CWM Privacy Policy.  

Trademarks

 Trademarks, trade names, logos, and service marks, whether registered or unregistered (“trademarks”) displayed on the Website are Trademarks of CWM and it’s third-party licensors.  Display or use or any Trademarks on the Website or in the Services shall not be construed as granting, by implication or otherwise, any license or right to use any trademark without the prior written permission of CWM or such third-party. Users and Members agree not to use CWM trade dress, or copy the look, design, and or feel of the CWM Website, without CWM’s prior written approval.  

CWM Hall

The CWM Hall (“CWM Hall”) was created so Users and Members could meet and discuss topics of interest, and share realizations, Ah-ha moments, internship experiences, college life, professional life, and chit chat about mentors, coaches, classes, and other related topics within the CWM website.  However, this feature can not be used if one is a User or a Member. This includes, but is not limited to, ask, answer questions, share with other Users or Members, Vote (upvote or downvote), flag a comment, add images, add an emoji, or any other activity that takes place in CWM Hall. If a college, employer that is looking for interns, or college students to hire, an employer who wants to participate in any CWM Hall discussion, that college or employer, as seen fit, can designate one or more of their employees to speak in the CWM Hall discussions on their behalf. The  User account or a College, Employer, Mentor, or Coach, will be identifiable when on the CWM Hall platform. It is required at all times that Users, Members, as well as Mentors, Coaches, Employers, and Colleges treat the CWM Hall community with the utmost respect. Abusive language, foul language is not permitted. Spam, phishing, personal attacks, including, but not limited to, abusive emojis, and bullying, racism, and sexual harassment, are not permitted, and may be cause to terminate, and or completely ban a User or Member, Mentor, or Coach from use of the Services and Website.  When a User or Member visits, views or submits Content on, but not limited to, the CWM Website, CWM social media outlets, Blog, or Vlog, the User or Member, Mentor, or Coach, agrees to endure, abide, by the CWM Code of Conduct:

CWM Code of Conduct

CWM Allows Users and Members use of the Services and the ability to post Content for a variety of purposes. Users and Members understand and agree that they are solely responsible for total compliance with any and all applicable laws, rules, regulations, as well as tax obligations that may be applicable to their use of the Services.  In connection with a User or Members use of Services, a User or Member is not permitted, and will not, and fully agree to the below terms. 

A User or Member, Mentor, Coach, Intern, CWM employee, will not:

  1. Use the CWM Website, Services to transmit, distribute, post, or submit any confidential information concerning any other person or entity, including, but not limited to, photographs of others without their permission, personal contact information, or credit card, debit card, or bank account information and or, account numbers.

  2. Violate any local, state, provincial, national, or other law or regulation, or any order of a court.

  3. Run any bots, spicers, scrapers, web crawlers, indexing agents, or other software, or apps to aggregate or browse the CWM Content, including, but not limited to, company or user accounts or profiles, or otherwise interfere with or circumvent the integrity of the CWM Website or Services. 

  4. Stalk or harass, interfere with, or disrupt the access of any user, member, coach, mentor, visitor of the CWM website or Services, or collect or store any personal identifiable information about any user without explicit consent from the User, Member, Coach, Mentor or Visitor. 

  5. Defame, defraud, mislead, or impersonate any person or entity.

  6. A User, Member, Coach, Mentor, or Visitor can not misrepresent themselves or their affiliation with any person or entity.

  7. Post false information, including, but not limited to, in respect of an internship, job, college, company, CWM employees, CWM intern, or one's own User, Member, Mentor, Coach, or Visitor credentials as the applicant of an internship or job. Infringe, violate, or otherwise interfere with any copyright, trademark, or other intellectual property rights of another party.  

  8. Introduce any viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or similar software to the CWM Website or Services or transmit any other computer programming routines that may damage, interfere with, or surreptitiously intercept and data, or personal information. 

  9. Act in any manner which is deemed by CWM in its sole discretion, is objectionable, interferes with the proper working of the Services, or which may affect the CWM name or reputation in any way.  

Should a User, Member, Mentor, Coach, or a CWM employee, college representative, or an employer ever come across content that can be deemed as suspicious, or that violates these Terms or Code of Conduct, CWM asks that they please contact CWM immediately at abuse@collegewebmentor.com. 

CWM, as seen fit, can choose to moderate and/or curate any discussions and all related Content on CWM Hall at its sole discretion. Please note that such moderation will, most likely, be by the use of automated or machine-learning techniques. As seen fit, moderation may be performed by a human.

At any time a User, Member, Mentor, Coach or a CWM employee, college representative, or employee, that is logged in and using CWM Hall, may submit questions and answers to CWM Hall, however, CWM reserves the right to approve or deny any submitted question or answer. CWM reserves the right to approve or deny any submitted question or answer.  CWM also reserves the right to cancel, deny, or revoke a User, Member, Mentor, Coach, or a CWM employee, college representative, or employee, use of the CWM Website or Services at any time without notice. Any and all Content posted by User, Member, Mentor, Coach or a CWM employee, college representative, or employee, will be visible by others (User, Member, Mentor, Coach or a CWM employee, college representative, or employee) of the Services and through third-party Services and websites. User, Member, Mentor, Coach or a CWM employee, college representative, or employee should only post content that they are comfortable sharing with others under these Terms. 

CWM Coaching / Mentoring Services

CWM Coach / Mentoring Services is a Paid Service provided by CWM for Users and Members to access qualified (based on education, experience, and proven recommendations) college and career coaches (“Coach or Coaches”) who authentically want their clients to succeed in college, career, and in life. A User or Member can purchase private Coaching Services offered through the CWM website from Mentors that are offering Coaching Services.  Regardless of happenstance, in these Terms, Mentor and Coaching Services are non-refundable. Please note, the User or Member, as seen fit, will be redirected to leave the CWM Website when browsing a Mentors own website. Please note, as stated in the CWM Privacy Policy, Mentors who offer their Services through CWM’s Website as Services, as seen fit, will direct the User and Member to their own Coaching Website, or website (third-party) they are affiliated with. Such third-party Merchant Service companies have their own TERMS and Privacy Policy to adhere to. CWM strongly advises Users and Members to read, and familiarize themselves with their Website, Terms, and Privacy Policy before they (User or Member) decides to purchase anything from the Mentors or Coaches own website, or affiliating shopping cart service they use for merchant services. The Services offered by Mentors and Coaches include, but are not limited to, Internship applications, job applications, resume help, college help, career help, job presentation help, building social skills for work, building confidence, and other Services described on the CWM Website. Please note, most Mentors and Coaches are not employees or agents of CWM, but rather, they are independently contracted to CWM, college, and career consultants who offer their consulting, training, products to Users and Members of CWM. CWM has made it our responsibility for honoring any Coach or Mentor services purchased by Users and Members. Should a Mentor or Coach be unavailable to provide a purchased service, that User or Members is entitled to a refund. Please know before purchasing, fees that are paid for CWM Mentor or Coaching Service may be fortified if it is not redeemed or used within that 12 months of purchase date. Moreover, it is required to give a 24 hours notice of cancellation for any and all purchased service from a Mentor or Coach. To learn more you can visit the CWM FAQ page. CWM Mentor and Coaching Services are only available for advance purchase. They may be purchased individually or in packages. CWM honors prices set by CWM Mentors and Coaches for Twelve (12) months from the date of purchase. Should CWM decide, as seen fit, by CWM’s sole discretion, to otherwise increase the price of such Mentor or Coach Services during that period, CWM will honor the price for that Service at the time it was purchased. Please note: payments for Mentor or Coach Services through the CWM Website may be transferred to the applicable Mentor or Coach’s payment account, and,  may, after completion of the relevant CWM Mentor and Coach Service, minus any service fees incurred or charged by CWM. This includes, but is not limited to, any processing fees (e.g., credit card fees, PayPal fees), if applicable.

More Than One Mentor or Coach Rules

As long as CWM offers, CWM Mentor and Coach Services, the User, and or Member, hereby, and willingly agrees NOT to hire, or pay for any Mentor or Coach services offered, if and when they are introduced to each other through the CWM Website, affiliates, or social media outlets, outside of the CWM payment Services, this includes CWM contracted merchant services for CWM payment processing. Please note that CWM Mentors and Coaches, also have a responsibility NOT to be introduced to a possible client through CWM, but not limited to, the CWM Website, CWM affiliates, or CWM social media outlets, and bypass the CWM payment processing, for the Mentor or Coaches Services. In the event that a User, Member, Mentor, Coach breaches the aforementioned restrictions, the User or Member, and the relevant Mentor or Coach will be, agreeably, jointly, and severally liable for any and all losses incurred by CWM, as well as liquidated damages in the amount of, but not limited to, $500-$2,500 per breach. Furthermore, it is agreed by the User, Member, Mentor, or Coach that CWM will have no responsibility, liability, or obligations whatsoever in respect of any such engagement. 

 Third-Party Sites (Including affiliated Social Media outlets)

CWM, as seen fit, does not solely process payment for Services.  CWM accepts payment for Services and products through third-party companies, as well as processing payment. The third-party companies are accessed through the CWM Website, or as seen fit, through email, or hyperlinks from the CWM Website or associated CWM social media outlets. CWM does not own, have ownership, or maintain third-party companies or websites. Therefore, CWM is not in any way responsible for a User or Members use of such third-party websites. CWM has no and makes no representations whatsoever concerning any content and or accuracy or, opinions expressed in, or other links provided by such website. Please note that inclusion of such third-party links to and from such websites does not imply any association between CWM and their operations. Please note that a User or Member using all or any third-party websites are ruled and under the authority of the Terms of such third-party websites and NOT BY THESE TERMS. 

CWM User and Member Conduct

A User and Member are allowed to all of the Services, as well as post content on the CWM Website, Blog, Youtube accounts, and other Social Media outlets for a variety of purposes.  However, the User and Member agree and understands that they are completely and solely responsible for compliance with any and all regulations, rules, laws, tax obligations, that apply with the use of the Services, this includes but is not limited to, CWM affiliated third-party services. Furthermore, a User or Member who uses the Services, including, but not limited to, the CWM Youtube account, and other CWM social media outlets, agrees that they will not:

  1. Break, infringe, or transgress any local, state, provincial, national, or other law or regulation, or any order of a court.

  2. Hack, install, run and bots, spiders, scrapers, web crawlers, indexing agents, or other software to aggregate or browse the CWM Content, including, but not limited to companies or User, Member, Mentor, and Coach accounts or profiles, or otherwise interfere with circumvent the integrity or the website or Services.

  3. Hack, install, run, introduce any viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or similar software to the CWM Website or Services, including, but not limited to, CWM social media outlets, or transmit any other computer programming routines that may damage, interfere with, or surreptitiously intercept any data, or personal information. 

  4. Use the CWM Website or social media outlets to transmit, distribute, post, or submit any confidential information concerning any other person or entity, including, but not limited to, text, photographs of others without their permission, person contact information or credit card, debit card, someone personal online merchant service account information, or bank account numbers.

  5. Intimidate, pester, stalk, harass, persecute, heckle, hassle, hound, maraud, bait, interfere with, or disrupt any User, Member, Mentor, CWM employee, or disrupt the access of any User, Member, Mentor, Coach, or CWM employee of the Service or collect or store any personally identifiable information about any other user without explicit consent from the User, Member, Mentor, Coach, a CWM employee.

  6. Disgrace, bring dishonor upon, defraud, mislead, or impersonate any person or entity, or otherwise misrepresent themselves (User or Member) or their affiliation with any person or entity.

  7. Post erroneous information, including but not limited to, in respect of an internship, a job, college, company, or their (User or Member) own credentials as an internship, job, or college, CWM applicant. 

  8. Violate, breach, and or otherwise interfere with any copyright, trademark, or other intellectual property rights or another party.

  9. A User or Member may not represent themselves in any manner which, in CWM’s sole discretion, is objectionable, interferes with the proper working of the Services, or which may affect CWM’s reputation in any way, shape, or form. 

CWM Disclaimers

Please note that the disclaimers in this section of CWM Terms apply to the maximum extent allowable under applicable law. 

The User and Member accepts that they are solely responsible for their use of the Services, as well as navigating in www.collegewebmentor.com and www.collegewebmedia.com. Also, CWM is not responsible at all for, but is not limited to, the activities, omissions, or other conduct, whether online or offline, of any other User or Member, or Mentor, Coach, or CWM employee. The User and Member is solely responsible for ensuring that their (User or Member) use of the Services is in compliance with all laws, rules, and regulations applicable to them (User or Member). CWM makes no representations concerning any Content contained in or accessed through the Services. All Services are provided “as is” and without any warranty of any kind, whether expressed or implied, including the warranties or conditions of merchant-ability, fitness for a particular purpose, accuracy, or non-infringement, all of which are expressly disclaimed. 

CWM does not consent to:

  1. The Services will be secure or available at any particular time or location.

  2. The Services will function without errors

  3. Any defects or errors will be corrected

  4. Any Content or software available at or through the Services is free of viruses or other harmful components

  5. The results of using or relying on any Content or Services or advice contained therein will meet a User or Member requirements or produce desired results. 

  6. The consequences, results of using the Services or content, or mentoring, or advice contained therein will meet a Use or Members requirements or any produces or desired results. A User or Member who uses the Services or Content, or reliance on, is solely at their own risk.  

Liability (Limitation of)

BE ADVISED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO WAY SHALL COLLEGE WEB MEDIA, LLC, OR COLLEGE WEB MENTOR BE LIABLE TO ITS USERS OR MEMBERS OR ANY THIRD PARTY FOR ANY LOST PROFITS OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, OPPORTUNITIES, OR REPUTATION ARISING FROM A USER OR MEMBERS USE OF THE WEBSITE, CONTENT, OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, UNLESS OTHERWISE REQUIRED BY APPLICABLE LAW, USERS and MEMBERS AGREE THAT IN NO EVENT SHALL THE AGGREGATE LIABILITY OF COLLEGE WEB MEDIA, LLC, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING BUT NOT LIMITED TO, NEGLIGENCE, WHETHER ACTIVE, PASSIVE, OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY, OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES EXCEEDED THAT AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM OR ONE HUNDRED DOLLARS, WHICHEVER IS GREATER.

With that, CWM has registered a Copyright Agent with the United States Copyright Office, which limits our liability under the Digital Millennium Copyright Act. If a User or Member, Mentor, Coach, or visitor,  believes their copyright has been infringed on the Website or otherwise in Services, do not hesitate, to notify us via email info@collegewebmedia.com , or call us at 323-638-9267.   1. Name and contact information, address, telephone number, email address

  2. Name of the party whose copyright has been infringed

  3. Name and description of the work that is being infringed.

Indemnification

All Users and Members, as well as Mentors, Coaches, and all CWM staff agrees to indemnify, defend and hold harmless College Web Media/College Web Mentor, its affiliates, and each of their respective principals, employees, shareholders, agents, officers, directors, and consultants from or against third-party claims, damages, payments, deficiencies, fines, judgments, settlements, liabilities, losses, costs, and expenses arising from or relating to any third-party claim, suit, action or proceeding arising out of or related to your use or purchase of the Services, a User or Members violation of the rights or any third-party or person, or your breach of these Terms or any representation or warranty contained herein. College Web Media/College Web Mentor reserves the right, at the User, Members expense, to assume the exclusive defense and control of any matter for which the User or Member are required to indemnify College Web Media/College Web Mentor, and the User and Member agree to cooperate with College Web Media/College Web Mentor’s defense of such claims.  College Web Media/College Web Mentor will use reasonable efforts to notify the User or Member of any such claim, action, or proceeding upon becoming aware of it. 

Resolution (Dispute)

The User or Member agrees that the laws of the State of California, USA, excluding its conflict of laws rules, shall exclusively govern any dispute relating to these Terms and/or the Services.

THE FOLLOWING IS EXTREMELY IMPORTANT INFORMATION AND MUST BE READ CAREFULLY BY THE USER OR MEMBERS OF CWM. IT MUST BE READ CAREFULLY BECAUSE IT REQUIRES THE USER OR MEMBER TO ARBITRATE DISPUTES WITH COLLEGE WEB MEDIA, COLLEGE WEB MENTOR AND LIMITS THE MANNER IN WHICH A USER OR MEMBER CAN SEEK RELIEF FROM COLLEGE WEB MEDIA/COLLEGE WEB MENTOR. PLEASE READ THIS CAREFULLY.

A USER OR MEMBER AGREES TO ARBITRATE AND DISPUTE ARISING FROM THESE TERMS OR YOUR PURCHASE OR USE OF THE SERVICES, EXCEPT THAT THE USER OR MEMBER AND COLLEGE WEB MEDIA/COLLEGE WEB MENTOR ARE NOT REQUIRED TO ARBITRATE ANY DISPUTE IN WHICH EITHER PARTY SEEKS EQUITABLE AND OTHER RELIEF FOR THE ALLEGED UNLAWFUL USE OF COPYRIGHTS, TRADEMARKS, TRADE NAMES, LOGOS, TRADE SECRETS, OR PATENTS. ARBITRATION PREVENTS A USER OR MEMBER FROM SUING IN COURT OR FROM HAVING A JURY TRIAL. A USER OR MEMBER AND CWM AGREE THAT A USER OR MEMBER WILL NOTIFY EACH OTHER IN WRITING OF ANY DISPUTE WITHIN THIRTY (30) DAYS OF WHEN IT ARISES. 

Notice to CWM shall be sent to College Web Media, 280 S. Lemon Ave. #202, Walnut CA, 91788, United States, Legal@collegewebmedia.com. 

A User/Member further agrees: to further pursuit informal settlement prior to any demand for arbitration; that any arbitration will occur in Pomona, California; that arbitration will be conducted confidentially by a single arbitrator in accordance with the rules of JAMS; and that the state of federal courts in Pomona County, California have the exclusive jurisdiction over any appeals of an arbitration award and over any suit between the parties not subject to arbitration. Other than class procedures and remedies discussed below, the arbitrator has the authority to grant any remedy that would otherwise be feasible in court. Whether the dispute is heard in arbitration or in court, the User or Member and CWM will not commence against the other a class action, class arbitration, or other representative action or proceeding. 

Lastly, Miscellaneous

These CWM Terms, together with the CWM Privacy Policy, and any other legal notices published on the CWM Website, shall constitute the entire agreement between A User/Member and CWM concerning the User or Members use of the Services. These Terms and any rights and licenses granted hereunder, may not be transferred or assigned by the Use or Member, but may be assigned the CWM at any time without restriction. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. Should two or more provisions of this Agreement be deemed to conflict with each other’s operation, CWM shall have the sole right to elect which provision remains in force. No waiver of any one provision set forth in these Terms shall be deemed a further or continuing waiver of such provision of any other provision, and CWM’s failure to assert or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
